Vendor Waiver & Hold Harmless Agreement

Effective for the 2025 Market Season

This agreement is entered into by the undersigned vendor (“Vendor”) and SUMC Community Market, its organizers, volunteers, sponsors, and associated property owners (collectively, “the Market Parties”).

1. Assumption of Risk

Vendor understands that participation in the Market involves certain inherent risks, including but not limited to: setup hazards, weather-related events, theft, personal injury, or property damage. Vendor voluntarily assumes all such risks.

2. Waiver of Liability

Vendor hereby waives, releases, and discharges the Market Parties from any and all liability, claims, demands, or causes of action arising out of or related to any loss, damage, or injury (including death) sustained while participating in or traveling to/from the Market.

3. Indemnification

Vendor agrees to indemnify, defend, and hold harmless the Market Parties from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or resulting from:

Vendor’s participation in the Market,

Any act or omission by the Vendor or its employees/representatives,

Sale or distribution of any product or service by the Vendor.

4. Insurance & Licensure

Vendor affirms that they:

Are operating in compliance with all local, state, and federal laws,

Have obtained any required licenses and permits,

Understand that the Market does not provide insurance coverage for vendors, and are responsible for their own liability and property insurance.

5. Booth Conduct & Market Rules

Vendor agrees to abide by all Market rules, including:

Timely setup and takedown,

Maintaining a clean and safe booth space,

Respectful behavior toward customers, staff, and other vendors.

Violation of rules may result in dismissal from the Market without refund.

6. Entire Agreement

This agreement constitutes the entire understanding between the parties and supersedes all prior discussions or agreements, written or oral.

Acknowledgment & Signature

By signing below, I acknowledge that I have read, understood, and agree to the terms of this Vendor Waiver & Hold Harmless Agreement.

Media Release

Vendor grants the Market permission to use photographs, video, or other media representations of their booth, and staff for promotional purposes without compensation.

Founding Vendor Status Policy

To recognize and celebrate the vendors who help launch our market community, Founding Vendor status will be granted to those who:


  • Participating in the first official market season, beginning July 19, 2025

  • Commit to at least 6 out of 12 market dates during the inaugural year 

  • Sign the vendor agreement and fulfill all booth, safety, and conduct requirements


 Founding Vendor Benefits Include:

  • Discounted booth fees for the launch season

  • Priority booth placement

  • Featured social media and website spotlights

  • A Founding Vendor certificate

  • VIP Perks
